Cross-border, M&A, trade and dispute advisory

When foreign investment, large transactions, an enforcement agency or a dispute enters the picture, the stakes change — and so does the response. This is measured, document-led work, with representation when you need it.

Cross-border money, big-corporate tax, and enforcement notices

When foreign investment, large transactions or an enforcement agency enter the picture, the stakes change and so does the response. This is measured, document-led work — and on enforcement matters, the message is always the same: respond lawfully, never ignore, get representation early.

Foreign investment came in — what do I file (FC-GPR / FC-TRS)?
Missed or late FC-GPR/FC-TRS filings, wrong pricing or a breached sectoral cap create FEMA exposure. We do the filings, the valuation, and a compliance review of the whole investment.
I forgot the FLA annual return / ODI filings
Companies with foreign investment must file the FLA return, and overseas investments need ODI reporting. We regularise both.
I have a FEMA contravention sitting unresolved
A FEMA rule was broken, knowingly or not. A voluntary compounding application to RBI usually settles it for a defined penalty — far better than waiting to be caught. We prepare and file it.
I'm facing a transfer-pricing adjustment
Related-party or cross-border transactions draw a TP audit and a large proposed adjustment. We build the documentation and benchmarking, and pursue an Advance Pricing Agreement for future certainty.
I have to deduct withholding tax on a foreign payment (Section 195)
Royalty, technical-service and interest payments abroad raise withholding questions, and getting it wrong creates demands on both sides. We characterise it correctly, apply the treaty, and get lower-deduction certificates where eligible.
I received an ED summons under FEMA
A summons under Section 37 is serious, and answering it carelessly is the real danger. We prepare you, get your documents in order, and appear with you.
There's an ED investigation under PMLA
A money-laundering investigation is among the highest-stakes matters a person can face. We provide experienced representation and lawful cooperation, coordinating with criminal counsel — never face PMLA proceedings unadvised.
The ED has attached my property or account (PMLA)
A provisional attachment can be challenged before the Adjudicating Authority and the Appellate Tribunal — there are real remedies, on a clock. We act quickly.
Mergers & Restructuring

Mergers, acquisitions and corporate restructuring

A deal lives or dies on what you find before signing and how you structure it. We handle the diligence, the structure and the NCLT process so the transaction does what it's meant to — without nasty surprises later.

Two companies want to merge or amalgamate
A merger needs an NCLT-approved scheme with creditor and regulatory steps. We draft and shepherd the scheme through the full process.
I'm acquiring a business and need to know what I'm buying
Hidden tax, legal and financial liabilities surface in due diligence. We run it thoroughly so there are no surprises across the table.
How should I structure the deal (share vs asset, slump sale)?
The wrong structure costs heavily in tax and stamp duty. We structure the transaction — share purchase, asset purchase or slump sale — for the best legal and tax outcome.
I want to carve out or reorganise a business (demerger)
We plan the restructuring for focus and tax efficiency, and execute it through the NCLT scheme.
I need a defensible valuation for a transaction
We arrange a registered-valuer valuation and the supporting documentation that regulators, tax authorities and counterparties will accept.
Export & Import

Export, import, customs and foreign trade

Cross-border trade runs into India's foreign-trade policy, customs valuation and a maze of incentive schemes. We get you registered, keep the documentation clean, and defend the notices when customs or DGFT come asking.

I want to start exporting or importing (IEC)
You need an Import-Export Code, and you're likely unaware of incentives like RoDTEP. We handle IEC registration and advise on the schemes that put money back in your pocket.
Customs has questioned my import value (under-valuation)
A show-cause alleging understated value can carry duty and penalty. We defend the declared value with evidence, through the SCN reply and appeal.
I import from a related party (SVB)
Importing from a related foreign party triggers a Special Valuation Branch investigation into whether the relationship affected price. We handle the SVB submission and ongoing compliance.
Customs reclassified my goods to a higher duty
A classification change brings a demand on past imports. We defend the classification and, where it's worth it, get an advance ruling for certainty.
My drawback / RoDTEP / RoSCTL claim is stuck
Export incentive claims get delayed, short-paid or rejected — usually on documentation, not eligibility. We correct and pursue them.
My goods are seized, or DRI has opened an investigation
We secure release (provisional release, redemption) and respond to a Directorate of Revenue Intelligence investigation with counsel.
My export proceeds didn't come in on time (FEMA)
Non-realisation within the FEMA timeline risks caution-listing. We realise, write off correctly, or extend through the bank/RBI process.
